1. Transaction Overview

Mingke Precision Technology Holdings Co., Ltd. (hereinafter referred to as “the Company” or “Mingke Precision”) held the 15th meeting of the second board of directors on January 28, 2026, and the first extraordinary shareholders’ meeting of 2026 on February 26, 2026, approving the proposal on “Changing the Use of Part of the Raised Funds for Acquiring 53.2530% Equity of Anhui Shuangjun Intelligent Technology Co., Ltd.”. The Company agreed to acquire 53.2530% equity (hereinafter referred to as “this acquisition”) of Anhui Shuangjun Intelligent Technology Co., Ltd. (hereinafter referred to as “Anhui Shuangjun”) for 143.7831 million RMB. Following the completion of this acquisition, the Company will hold 53.2530% of the equity in Anhui Shuangjun, which will become a controlling subsidiary of the Company and included in the Company’s consolidated financial statements.

According to the payment method stipulated in the “Equity Transfer Agreement,” the Company has recently paid a total of 86.2699 million RMB for the first phase of the equity transfer to counterparties Wu Yinghong and Wu Yingju.
